NovoPsych Resources Licence Agreement

NovoPsych’s mission is to help mental health services use psychometric science to improve client outcomes.

In line with this mission, researchers, educators and clinicians working with their own clients can use our resources free of charge, with no permission needed in most circumstances. Commercial use above the limits below, and any use by competing assessment services, needs a licence from us. Please review the agreement below.

NovoPsych Resources Licence Agreement

Updated October 2026.

This Licence Agreement (“Agreement”) governs the use, reproduction, distribution and modification of resources relating to mental healthcare and psychometric assessments (“Resources”) created by NovoPsych Pty Ltd (“NovoPsych”). It applies to Resources NovoPsych has created in relation to any scale, template or other content published on novopsych.com, including scales whose items are owned by third parties.

Where a scale is owned by a third party and published on novopsych.com, that scale remains the property of its author or publisher and nothing in this Agreement affects their rights to the original works. NovoPsych’s work in relation to that scale, such as its descriptions, normative data, thresholds, change metrics, interpretive text and presentation formats, is NovoPsych’s own, and is licensed only on the terms below.

Assessments authored by NovoPsych are licensed separately under the NovoPsych Open Source Assessment Licence Agreement.

NovoPsych’s mission is to help mental health services use psychometric science to improve client outcomes. In keeping with that mission, this Agreement allows researchers, educators and clinicians to use the Resources free of charge in most circumstances, while reserving commercial use above set limits, and use by competing services, to NovoPsych.

By downloading, accessing or using the Resources you agree to be bound by this Agreement. If you do not agree, you must not use the Resources.

1. Definitions

“Resources” means material produced by NovoPsych and published on the NovoPsych website, including:

  • Descriptions of psychometric scales, their use, qualities or considerations for practitioners.
  • Writing that synthesises literature or psychometric properties.
  • Graphical representations of psychometric results, including graphs, tables and formatting, and the organisation of colours, descriptors and all novel graphical representation of metrics for particular assessments.
  • Metrics developed by NovoPsych for particular scales, including percentiles, average scores and scaled scores.
  • Clinical thresholds or categories developed by NovoPsych, including clinical cut-offs and severity ratings.
  • Change metrics such as reliable change indices and minimally important differences.
  • Descriptors and interpretive text describing the meaning of results.
  • Methods for data synthesis and reporting.
  • Dashboard formats, metrics, methods and descriptions.
  • Technical reports, research papers or manuals created by NovoPsych.
  • The NovoPsych assessment library and catalogue as a compilation: the selection of scales included, their categorisation, grouping, ordering and naming, the summary descriptors attached to each, and the structure and arrangement of the library pages, in whole or in substantial part.
  • Prompts, templates and rubrics for AI document generation.

“Scoring Logic” means the methods, formulae, algorithms, normative data, percentile tables, scaled-score conversions, cut-offs, severity bands, reliable change indices, minimally important differences, interpretive rules and report and graph formats that NovoPsych uses to compute, categorise, describe or present assessment results, whether or not they appear in the Resources.

“Platform Outputs” means scores, reports, graphs, dashboards, interpretive text, exports and any other material generated by or displayed within the NovoPsych platform or applications in respect of a user’s clients. Platform Outputs are governed by the NovoPsych Terms and Conditions & SaaS Contract, not by this Agreement.

“Organisation” means you together with every entity related to you, including your employer, your employees and contractors, all sites and locations, and all subsidiaries, affiliates and entities under common ownership or control. All use is counted at the level of the Organisation.

“Administration” means one application of one or more Resources to one client, patient, respondent or other person on one occasion, however many Resources are drawn on.

“User” means any individual who can access the Resources, or material derived from them, through software, a website, an application or a service that you operate or supply, including practitioners, staff, clients and visitors.

“Commercial Use” means any use by or on behalf of a for-profit entity, including a private practice; any use for which a fee is charged; and any use that directly or indirectly generates revenue. Use by a for-profit health practice is Commercial Use even where the purpose of the use is clinical.

“Competing Service” means any software, website, application, API, dataset, model or service, other than NovoPsych’s own, that administers, scores, interprets, reports on or tracks psychometric assessments for or on behalf of third parties, that generates clinical notes, letters, reports or other clinical documentation for or on behalf of third parties, or that is marketed or offered as an alternative to the NovoPsych platform or NovoNote.

“Research Use” means use by or under the supervision of a university, hospital or research institution for research whose results are intended for publication or scholarly dissemination, and not for the development or operation of a product or service.

2. Licence Grant

NovoPsych grants you a worldwide, non-exclusive, non-transferable, revocable licence to use, reproduce, distribute and modify the Resources, only as permitted by, and subject to, this Agreement.

3. Free Permitted Uses

No permission or fee is required for the following uses, provided the Restrictions in clause 6 are observed.

  • Clinical use by practitioners. A health practitioner may use, copy and adapt the Resources in their own clinical work with their own clients, including in private practice, provided the Organisation’s use stays within the Free Use Limits in clause 4.
  • Non-commercial use. Not-for-profit health services, educational institutions and individuals may use, copy and adapt the Resources for health, educational and academic purposes without commercial intent.
  • Research Use. Researchers may use, copy, distribute and modify the Resources, create derivative works from them, and disseminate and publish works based on or including them, without limit.
  • Use within the NovoPsych platform. Subscribers to the NovoPsych platform use the Resources and Platform Outputs under the Terms and Conditions & SaaS Contract. Where that contract and this Agreement differ in respect of platform use, that contract prevails.

4. Free Use Limits for Commercial Use

Commercial Use is permitted without a fee only while both of the following are true:

  1. the Organisation’s use of the Resources does not exceed 1,000 Administrations in a calendar year; and
  2. if the Resources, or material derived from them, are integrated into software, a website, an application or a service, no more than 100 Users (e.g. practitioners) have access to them through it in a calendar year.

Use above either limit requires a Commercial Licence under clause 5. Use is counted across the whole Organisation and may not be divided between practitioners, sites or entities to stay within the limits.

5. Commercial Licence and Fees

Commercial Use above the Free Use Limits requires a Commercial Licence from NovoPsych. NovoPsych’s base fee is A$2,000 per 1,000 Administrations per calendar year, exclusive of GST. Fees for software integration, for more than 100 Users, and for high volumes are quoted on application via our contact page. A Commercial Licence does not extend to a Competing Service, which requires a separate written agreement.

6. Restrictions

The following restrictions apply to every user of the Resources, including users whose use is otherwise free under clause 3.

  • No Competing Services. Nothing in this Agreement licenses any use of the Resources in, for or in connection with a Competing Service. A person who builds, operates, supplies or contributes to a Competing Service receives no licence under this Agreement and must obtain a separate written licence from NovoPsych before any use.
  • No reverse engineering. You must not extract, re-derive, reconstruct, reverse engineer, replicate or approximate the Scoring Logic, whether from the Resources, from Platform Outputs, from NovoPsych reports, graphs or exports, or by systematically submitting responses to the NovoPsych platform or website to infer how results are computed or described.
  • No use in competing systems or models. You must not use the Resources, the Scoring Logic or Platform Outputs to design, build, train, fine-tune, evaluate, prompt or improve any software, model or service that administers, scores, interprets or reports on psychometric assessments, or that generates clinical documentation, for third parties.
  • No automated collection. You must not use scrapers, crawlers, bots, bulk-download tools or automated querying against the NovoPsych website or platform, or otherwise collect the Resources in bulk.
  • No commercial sublicensing. You must not sublicense the Resources to third parties for commercial purposes, including by licensing their use, distribution, modification or other commercial exploitation.
  • No misrepresentation. You must not represent ownership of the Resources, remove or alter attribution or copyright notices, or present the Resources or derivative works as endorsed by NovoPsych without written consent.
  • Third-party scales. This Agreement grants no rights in the items, scoring keys or other material of any scale owned by a third party. Those rights remain with their owners.
  • No copying of the library or catalogue. You must not reproduce, mirror or substantially replicate the NovoPsych assessment library or catalogue, or its selection, categorisation, arrangement or descriptors, in any list, directory, library, catalogue, database or product, whether or not the underlying scales are owned by third parties.

A breach of this clause is a material breach and terminates the licence immediately under clause 11.

7. Attribution and Derivative Works

  • You may distribute, publicly display and perform derivative works based on the Resources, provided they comply with this Agreement.
  • If you modify or create derivative works based on the Resources, you must: credit NovoPsych as the original creator and link to the specific URL where NovoPsych published the original Resources; inform NovoPsych by email of any derivative work distributed to more than 100 individuals; and distribute the derivative work under the terms of this Agreement, including the Restrictions in clause 6.
  • A derivative work may not be used to do indirectly what clause 6 prohibits directly.

8. No Additional Permissions Required

If your use complies with clauses 3, 4, 6 and 7, you may use the Resources without seeking additional permission from NovoPsych.

9. Intellectual Property

NovoPsych retains all rights, title and interest in and to the Resources and the Scoring Logic, including copyright in their text, graphics, and the selection, arrangement and compilation of their contents. This Agreement transfers no intellectual property rights to you. NovoPsych may use any derivative work of the Resources without restriction.

10. Records and Audit

  • An Organisation whose use is Commercial Use must keep accurate records of its Administrations and Users for each calendar year and retain them for three years.
  • On written request, the Organisation must provide those records to NovoPsych within 14 days. NovoPsych may audit compliance with this Agreement, on reasonable notice, no more than once in any 12 months unless a breach is reasonably suspected.
  • Where use has exceeded the Free Use Limits, the Organisation must pay NovoPsych’s standard fee under clause 5 for all use above the limits from the date the limits were first exceeded, within 30 days of invoice. Where records understate use by more than 10%, the Organisation must also pay NovoPsych’s reasonable audit costs.
  • NovoPsych may monitor use of the Resources, the website and the platform to verify compliance.

11. Termination

  • Automatic termination. This licence terminates automatically if you fail to comply with any of its terms.
  • Discretionary termination. NovoPsych may terminate this Agreement at its discretion on 30 days’ written notice.
  • Effect of termination. On termination you must stop using the Resources and destroy or delete copies in your possession, except that research already published and attributed in accordance with clause 7 is unaffected.
  • Survival. Clauses 6, 9, 10, 12, 13 and 14 survive termination.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Resources are provided “as is”, without warranty of any kind, express or implied, including any warranty of fitness for a particular purpose. Nothing in this Agreement excludes any guarantee or right that cannot be excluded under the Australian Consumer Law.

13. Limitation of Liability

To the maximum extent permitted by law, NovoPsych is not liable for any damages arising from the use of, or inability to use, the Resources.

14. Governing Law

This Agreement is governed by the laws of Victoria, Australia, and the parties submit to the jurisdiction of the courts of Victoria.

15. Entire Agreement

This Agreement is the entire agreement between the parties on its subject matter and supersedes prior versions. It does not replace the Terms and Conditions & SaaS Contract, which continues to govern use of the NovoPsych platform.

16. Amendment

NovoPsych may amend this Agreement by posting a revised version on its website. Continued use of the Resources after posting is acceptance of the amended terms. Use before the date of a revised version is governed by the version then in force.
